If you think navigating high school geometry or dodging Doc Ock is tough, try negotiating the movie rights to Spider-Man. In one corner you have Sony Pictures, a studio which holds the key to Marvel's most profitable character. In the other corner there's Disney: a mega-empire running the Marvel Cinematic Universe. The result? Hollywood's most chaotic, lucrative and fascinating custody agreement, culminating in the blockbuster run of *Spider-Man: Brand New Day*. ## Selling a Spider Back in 1998, Marvel was completely broke. Fresh out of two years of court battles and a bankruptcy filing, the company was teetering on the edge of financial ruin.[^1] Desperate to pay off its debts and stay afloat, Marvel began licensing its characters to Hollywood, most notably *Spider-Man* to Sony Pictures and *The X-Men* to 20th Century Fox. When Sony came for Spider-Man, Marvel's Ike Perlmutter countered with an offer of nearly every character it still controlled, Iron Man, Thor, Black Panther and Ant-Man among them, for $25 million; the Sony executive handling the deal reportedly took it back to his superiors, who told him nobody cared about the other characters and to come back with a Spider-Man-only deal. Marvel duly sold Spider-Man's film rights for $10 million, plus 5% of each film's gross and half of the merchandising revenue.[^2]

Once *X-Men (2000, 20th Century Fox)* and *Spider-Man (2002, Sony)* reached the big screen, they were huge hits that launched the modern superhero boom. Yet while these films made billions for Fox and Sony, Marvel saw only a small share of the profits.[^3] Marvel was essentially giving away gold for pennies. Frustrated that other studios were reaping the rewards, in 2003 the former talent agent David Maisel came to Marvel's Ike Perlmutter with a bold proposal: **Marvel should finance and produce its own films**, and reap the profits itself rather than collect a licensing fee. Maisel's pitch went further still: if Marvel produced its own films, their stories could cross over with one another, just as they did in the comics.[^4] In 2005, Marvel made its move. It formed a bankruptcy-remote subsidiary, MVL Film Finance LLC, and borrowed a seven-year, $525 million facility from Merrill Lynch, pledging the theatrical film rights to the ten characters in its planned slate as collateral.[^5] Those pledged characters included Captain America, Nick Fury and the Avengers, none of them yet the household names they would become. Spider-Man and the X-Men, Marvel's biggest draws, had already been licensed away and were never part of the deal. Nor were Iron Man and Thor, whose rights Marvel did not yet control; it reclaimed Iron Man from New Line that November and the Hulk from Universal the following year, though Universal kept distribution.[^6]

Non-recourse loan: A loan backed by specific collateral where the lender cannot claim any other assets or money if the borrower defaults; instead they can only seize the pledged collateral, such as the film rights to Marvel's heroes.

Crucially, the loan was non-recourse. If the films failed, the lenders could seize the pledged film rights but could not pursue Marvel itself, and the company's merchandising income and its share of the films' revenue were ring-fenced from the collateral.[^5] The legend of a broke comic publisher betting its very soul on *Iron Man* is irresistible, and the strategic stakes were certainly real. But Marvel had structured the downside with care, risking a set of film rights rather than the whole company. Marvel used the credit line to fund *Iron Man* itself, bringing in Paramount Pictures purely as a distributor.[^7] Paramount put up no production capital, funding only marketing,[^3] and took a 10% distribution fee on the first film, later cut to 8% for the films that followed.[^8] The bet paid off spectacularly: *Iron Man (2008)* grossed more than $585 million worldwide,[^9] and Marvel had proved it could run its own studio. Just a year later, Disney acquired Marvel for around $4 billion, and the Marvel Cinematic Universe had its parent.[^10]

## Tangled Webs Meanwhile, Sony was riding high on its Tobey Maguire *Spider-Man* trilogy. Sam Raimi was developing a fourth film but, after cycling through multiple screenwriters, could not settle on a script he believed in. Unwilling to make a film he thought would be less than great, he walked away, and in January 2010 Sony scrapped the project and rebooted the franchise as *The Amazing Spider-Man (2012)*, followed by a 2014 sequel.[^11] Neither reboot fully reinvigorated Sony's superhero hopes, an irony given that Andrew Garfield's portrayal is now widely celebrated.[^12] So the dynamic had flipped: Marvel was thriving while Sony was scrambling. Recognising this, Amy Pascal, then Sony's top movie executive, struck an unprecedented deal with Marvel's Kevin Feige to share the web-slinger.[^13] Sony would finance and distribute a new reboot, *Spider-Man: Homecoming*, and keep the box office, while Marvel Studios took creative control, choosing the director and cast, shaping the tone and story, and folding Tom Holland's Spider-Man into the MCU across a set slate of films.[^12] In short, Sony funded the project, but Marvel made the movie. The pitch did not land gently; when Feige first suggested it over lunch, Pascal threw a sandwich at him before coming round to the idea.[^14] > [!pullquote] > "The only way I know how to help is if we just make the movie for you." Kevin Feige, President of Marvel Studios, recalling his pitch to Amy Pascal.[^14] At first the partnership ran smoothly, with Marvel taking a modest 5% of first-dollar gross and all the merchandising, so long as the films met the MCU's standard.[^15] That harmony shattered when Disney pushed for a clean 50/50 financing split and Sony refused; the talks collapsed publicly in August 2019, triggering a wave of fan fury aimed squarely at Sony. With the deal apparently dead, Tom Holland stepped in, personally appealing to both Disney's Bob Iger and Sony's Tom Rothman; his call with Iger in particular moved the Disney chief to return to the table.[^16] The resulting truce set a new 25/75 split, giving Disney roughly 25% of the profits, about a quarter of the financing and continued merchandising rights, and keeping the web-slinger in the MCU.[^15] ## It's a Brand New Day The 2019 truce didn't just save a franchise; it set the stage for one of the most lucrative cinematic gambles in modern Hollywood. When *Spider-Man: No Way Home* hit cinemas in 2021, it turned decades of complex corporate litigation and licensing tug-of-wars into pure narrative gold. By bringing back Tobey Maguire and Andrew Garfield alongside Tom Holland, Marvel built a multi-generational victory lap that bridged two distinct studio legacies. The narrative of Spider-Man's divided film history became the very engine of the plot. Grossing over $1.92 billion worldwide in a choppy post-pandemic market,[^17] *No Way Home* proved the Disney-Sony partnership was not a fragile compromise but a box-office powerhouse. Sony kept the lion's share of the theatrical take while Disney drew on its 25% co-financing stake and merchandising rights. By turning creative rivalry into a shared-universe event, both studios showed that, when it comes to Peter Parker, sharing the load pays off far better than fighting over the IP. And if *No Way Home* proved that nostalgia could print money, *Spider-Man: Brand New Day (2026)* proved something more impressive still: the Sony-Marvel partnership doesn't need legacy cameos to rewrite the record books. Driven by the draw of Tom Holland's Spider-Man rather than the returning stars of earlier franchises, the film opened to a staggering $932 million worldwide, cleared $1.1 billion by its first Tuesday and overtook *Toy Story 5* as the year's biggest release to date.[^17] Uncle Ben famously warned that **with great power comes great responsibility**. Sony and Disney evidently agreed: their greatest responsibility was ensuring their most lucrative intellectual property never left cinemas.
